Terms of Service

These Terms of Service (“Terms”) govern your use of the Desiro Growth website and the lead generation and ecommerce growth services provided by Desiro Advertising (DESIRO LLC) (“we”, “us”, or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our website or services. These Terms constitute a legally binding agreement between you and Desiro Advertising.

Desiro Growth provides performance marketing services, including lead generation, ecommerce growth, paid media management, conversion rate optimization, marketplace management, and related digital marketing services for businesses operating in the UAE and cross-border markets.

The specific scope, deliverables, and pricing of services for each client are defined in a separate service agreement or statement of work. In the event of any conflict between these Terms and a signed service agreement, the service agreement prevails for that engagement.

To enable effective delivery of services, clients agree to:

• Provide accurate and timely information about their business, target audience, and goals.
• Grant necessary access to ad accounts, analytics platforms, and website systems as required.
• Provide brand assets, product information, and other content needed for campaign execution.
• Respond to requests for approval or feedback within reasonable timeframes to avoid campaign delays.
• Ensure that any content, claims, or offers provided to us for use in campaigns comply with applicable UAE advertising regulations, including DHA standards for healthcare and aesthetic clients.

Fees, payment schedule, and invoicing terms are specified in each client's service agreement. Unless otherwise agreed, invoices are due within 14 days of issuance.

Late payments may incur charges as specified in the service agreement. We reserve the right to pause or suspend services if invoices remain unpaid beyond the agreed terms. Media spend (ad platform budgets) is billed separately from our service fees and is the client's responsibility.

All creative assets, campaign materials, and deliverables produced specifically for a client become the client's property upon full payment of all applicable fees, except for third-party licensed assets (stock imagery, fonts, software) which remain governed by their respective licenses.

We retain the right to use anonymized campaign data, aggregate performance metrics, and general methodologies for internal improvement and for showcasing our capabilities in marketing materials, without disclosing confidential client information.

Desiro Growth provides marketing services on a “best efforts” basis. While we use our experience and expertise to drive results, we do not guarantee specific outcomes, including but not limited to lead volume, conversion rates, ROAS, or revenue figures. Campaign performance depends on factors outside our control, including market conditions, product-market fit, and client responsiveness.

To the maximum extent permitted by UAE law, our total liability for any claim arising from our services is limited to the total fees paid by the client to us in the three months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or lost-profit damages.

Either party may terminate a service engagement by providing written notice as specified in the service agreement (typically 30 days). Upon termination, the client is responsible for fees accrued up to the termination date and for any non-cancelable media commitments already placed.

We reserve the right to terminate services immediately if a client breaches these Terms, fails to pay invoices, or engages in illegal or unethical practices that could damage our reputation or that of our advertising partners.

These Terms and any disputes arising from them are governed by the laws of the United Arab Emirates, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise specified in a signed service agreement.
